Privacy Policy

CHAIYN AI PRIVATE LIMITED (referred to as “we”, “us”, “our” or “CHAIYN”), a company incorporated in India and registered under the Companies Act, 2013 is the author and publisher of the internet resource, website, and mobile application – app.chaiyn.ai, products, services, or otherwise connected software and applications provided by CHAIYN (collectively, the “Site/Platform”).

Chaiyn AI is a software platform that provides AI-enabled procurement and supply chain solutions, including lead generation, order management, collaboration, and efficiency improvements using technologies such as AI (Artificial Intelligence) / ML (Machine Learning), made available at app.chaiyn.ai (“Services”). This privacy policy (“Privacy Policy”) explains how we collect, use, share, and protect the Personal Data of the users of the Services on the Platform (referred to as “you”, “your”, or “User(s)”).

This Privacy Policy and User Terms available at https://chaiyn.ai/privacy (“User Terms”) together constitute a legally binding agreement (“Agreement”) between you and CHAIYN. These terms shall apply to and govern your visit to and use of the Site and any of its products or services, whether accessed through a computer or a mobile phone. This includes all information, recommendations, and services provided to you on or through the Site.

For the purposes of this Privacy Policy, when we process Personal Data in order to provide the Platform and related AI-enabled procurement and supply chain solutions to our customers, we usually act as a “data processor” or “data fiduciary’s processor / data processor” on behalf of such customers. In those circumstances, our customers remain responsible for determining the purposes and means of the processing of Personal Data and for providing any required notices and obtaining any required consents from the individuals whose Personal Data is processed through the Services.

When we process Personal Data relating to our own business operations (for example, information about customer personnel for account management and billing, users who register for an account, or individuals who sign up for our marketing communications), we act as an independent data controller / data fiduciary and are responsible for such processing as described in this Privacy Policy.

BY CONFIRMING THAT YOU ARE BOUND BY THIS PRIVACY POLICY (BY THE MEANS PROVIDED ON THIS SITE), AND BY ACCEPTING THE USER TERMS, BY USING THE SERVICES OR BY OTHERWISE GIVING US YOUR INFORMATION, YOU AGREE TO THE PRACTICES AND POLICIES OUTLINED IN THIS PRIVACY POLICY. YOU HEREBY CONSENT TO OUR COLLECTION, USE, AND SHARING OF YOUR INFORMATION AS DESCRIBED IN THIS PRIVACY POLICY. WE RESERVE THE RIGHT TO CHANGE, MODIFY, ADD OR DELETE PORTIONS OF THE TERMS OF THIS PRIVACY POLICY, AT OUR SOLE DISCRETION, AT ANY TIME. IF YOU DO NOT AGREE WITH THIS PRIVACY POLICY AT ANY TIME, PLEASE REFRAIN FROM USING ANY OF OUR SERVICES OR PROVIDING US WITH YOUR PERSONAL INFORMATION. IF YOU USE THE SERVICES ON BEHALF OF SOMEONE ELSE (SUCH AS YOUR EMPLOYER/BUSINESS PARTNER/ASSOCIATE ETC.) OR AN ENTITY, YOU REPRESENT THAT YOU ARE AUTHORISED BY SUCH INDIVIDUAL OR ENTITY TO ACCEPT THIS PRIVACY POLICY ON SUCH INDIVIDUAL’S OR ENTITY’S BEHALF.

1. Legal provision for a privacy policy

1.1. This Privacy Policy is published in compliance with inter alia (i) the Digital Personal Data Protection Act, 2023; (ii) Rule 4 of the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Information) Rules, 2011 (the “SPDI Rules”); (iii) Rule 3(1) of the Information Technology (Intermediaries Guidelines and Digital Media Ethics Code) Rules, 2021, and other applicable rules, regulations and applicable laws as amended from time to time.

1.2. This Privacy Policy states the following:

  1. The type of information collected from the Users, including sensitive personal data or information;
  2. The purpose, means, and modes of usage of such information; and
  3. How and to whom we will disclose such information.

2. Information we collect and process on behalf of the user

We collect Personal Data when you access or use the Services, including in the context of organization’s sourcing, production, procurement, logistics and other supply chain activities. “Personal Data” means any data about an individual who is identifiable by or in relation to such data, including where such data is capable of identifying an individual directly or indirectly.

In the context of our Services, Personal Data may be included within supply-chain and factory-related information that you or your organisation input into the Platform (for example, names and contact details of your employees, suppliers, logistics partners, and other business contacts associated with purchase orders, shipments, forecasts, inventory or production records). While the majority of data processed by the Platform relates to business entities and operational transactions, any information within such data that relates to an identifiable individual will be treated as Personal Data and handled in accordance with this Privacy Policy.

Generally, some of the Services require us to know who you are so that we can best meet your needs and enable you to manage suppliers, customers, logistics service providers and other counterparties on the Platform. When you access the Services, we may ask you to voluntarily provide us with certain information that personally identifies you or your organization, or could be used to personally identify you. Without prejudice to the generality of the above, information collected by us from you may include (but is not limited to) the following:

A. Personal Data:

  1. Contact details (such as your email address and phone number);
  2. Demographic data (such as your address, and your pin code);
  3. Commercial data, including the record of your subscription transactions;
  4. Professional and commercial data (such as details of your role within your organisation, user account identifiers, transaction level information that may be associated with an identifiable individual);
  5. Bank account details of your business or company;
  6. Derived information from other personal data provided to us, potentially encompassing your preferences, interests, and other details used to tailor your experience;
  7. Account credentials such as username and password for securing account data on our servers;
  8. Information our servers automatically collect when you access the Site, such as your IP address, your browser type, your operating system, your access times, and the pages you have viewed directly before and after accessing the Site;
  9. Any other Personal Data that you or your organisation voluntarily submit to the Services; and
  10. Any other data which may be shared/stored by you in your account on our Site/Platform.

The information collected from you by CHAIYN may constitute ‘personal information’ or ‘sensitive personal data or information’ under the SPDI Rules or ‘personal data’ under the Digital Personal Data Protection Act, 2023. Personal information is defined under the SPDI Rules to mean any information that relates to a natural person, which, either directly or indirectly, in combination with other information available or likely to be available with a body corporate, is capable of identifying such a person;

Information that is freely available in the public domain or accessible under the Right to Information Act, 2005, or any other law will not be regarded as personal information or sensitive personal data or information;

Further, we may also create aggregated and/or anonymised data which does not identify you or any other natural person (“Aggregated and/or Anonymised Data”), derived from the Personal Data and usage data described above.

We use Aggregated and/or Anonymised Data for purposes such as:

  1. analysing how the Platform is used, including usage patterns and performance;
  2. developing, training and improving our AI models, algorithms and other features of the Services;
  3. conducting benchmarking, analytics and research relating to supply-chain performance; and
  4. creating and offering new products, services or insights that do not relate to an identifiable individual.

We do not treat Aggregated and/or Anonymised Data as Personal Data, and we will not attempt to re-identify individuals from such data.

B. Usage Data:

We collect usage data when you interact or subscribe to our Services. Usage data includes metrics and information regarding your use and interaction with Services such as what product features you use the most, when an object (like a ticket) is opened and closed, and how often certain features are triggered in your account, etc.

C. Device Information:

This includes the name of the device, operating system, device identifiers, and browser you are using. Information collected may depend on the type of device you use and its settings.

D. Third-Party Integrations:

We may connect third-party integrations to your account, which may ask for certain permissions to access data or send information to your account. It is your responsibility to review any third-party integrations you authorize. Any permissions granted by you that grant any third parties’ access to your data, which may include but is not limited to granting third-party applications access to view, store, and modify your account data, under no circumstances and events, shall we be responsible for the acts of any third-party integration.

The Platform may contain links to third-party websites or services. This Privacy Policy does not apply to such third-party sites, and we are not responsible for their privacy practices. We encourage you to review the privacy policies of those third parties before proceeding to such websites.

Your use of any third-party integrations is subject to your separate arrangements with such third parties and to the User Terms, and we are not responsible for the acts or omissions of any third-party integrations.

3. Use of the collected information

We may process your Personal Data only for lawful purposes that are not expressly forbidden by law, and only on the basis of your consent obtained in accordance with this Privacy Policy and the Digital Personal Data Protection Act, 2023; or for certain legitimate uses as recognised under Section 7 of the Digital Personal Data Protection Act, 2023. All the information provided to us by a User, including sensitive personal information, is voluntary. You understand that CHAIYN may use certain information of yours, which has been designated as ‘sensitive personal data or information under the SPDI Rules, (a) for the purpose of providing you with the Services, (b) for commercial purposes, and in an aggregated or non-personally identifiable form for research, statistical analysis and business intelligence purposes; (c) for transfer of such research, statistical or intelligence data in an aggregated or non-personally identifiable form; and (d) for any other data analytics purposes.

We may use the collected Personal Data for the following purposes:

  1. To provide, manage, maintain, develop, and analyze our products and Services including AI-enabled supply chain planning, execution and collaboration modules or in connection with business transactions;
  2. To provide, operate, maintain and support the Platform and our AI-enabled supply chain and factory digital transformation solutions, including ingesting, processing, reconciling and visualising supply-chain data, facilitating collaboration between different stakeholders in your value chain, and enabling functionality that you or your organisation have subscribed to;
  3. To ingest, process and visualise business data (such as orders, shipments, forecasts and inventory) that you or your authorised systems send to the Platform, and to make such data available to you and to other users authorised by you within your organisation;
  4. To enhance and improve our AI models and for other research purposes, by using only Aggregated and/or Anonymised Data derived from your Personal Data and your usage of the Services. We do not use individually identifiable Personal Data for training AI models without your explicit consent;
  5. For promotional and marketing purposes, such as sending updates, newsletters, and offers related to the Platform. You can opt-out of receiving such communications at any time by sending a mail to hello@chaiyn.ai for such action;
  6. For contacting Users to take product and service feedback;
  7. Analyzing software usage patterns for improving product design and utility;
  8. Analyzing anonymized information for commercial use;
  9. To prevent, detect, and investigate security incidents, fraud or misuse of the Platform, including with respect to access to supply chain data of your organization and your counterparties; and/or
  10. To adhere to legal requirements, protect our rights and interests, and ensure the safety and privacy of our affiliates, you, or other parties;
  11. In addition to processing based on your consent, we may process your Personal Data without such consent where the processing falls within the ‘certain legitimate uses’ recognised under Section 7 of the Digital Personal Data Protection Act, 2023, including: (a) processing for a specified purpose for which you have voluntarily provided your Personal Data and have not indicated that you do not consent; (b) processing for purposes of employment or related to safeguarding the employer from loss or liability; (c) processing necessary for compliance with any law or court order; and (d) processing for responding to a medical emergency or ensuring safety during a disaster.

Collection of information that has been designated as ‘sensitive personal data or information under the SPDI Rules requires your express consent. By affirming your assent to this Privacy Policy, you provide your consent to such collection as required under applicable law. Our Services may be unavailable to you in the event such consent is not given.

4. Disclosure of personal data

In certain circumstances we may provide your Personal Data to third parties without any notice to you unless required by the law:

  1. Vendors and Service Providers: To support our business operations and perform specific services, we may share Personal Data with vendors, service providers and data analytics entities. This includes entities that provide hosting, customer service, cloud services, email communication, web analytics, and other IT services. These third parties will handle Personal Data strictly according to our directives and only while carrying out their designated functions.
  2. Business Transfers: In the event of strategic activities such as mergers, reorganizations, bankruptcies, or changes in service providers, your Personal Data may be disclosed during due diligence and may be transferred to a successor or affiliate as part of the transaction, along with other business assets. Any such successor or affiliate may continue to operate the Platform as a business-to-business supply chain software platform and may use your Personal Data in accordance with this Privacy Policy and applicable law.
  3. Legal, Regulatory and Compliance Related Disclosures: We may disclose Personal Data when we believe in good faith that such disclosure is necessary or appropriate to: (a) comply with applicable laws, regulations, legal processes or enforceable governmental requests; (b) respond to valid court orders, summons or other proceedings; (c) protect the rights, property or safety of CHAIYN, our customers, users or the public; or (d) enforce our agreements and policies or investigate potential violations.
  4. With Your Consent or at Your Direction: We may disclose Personal Data to any other person with your consent or at your direction, including where you instruct us or authorise the disclosure as part of the configuration or use of the Services.

The Platform also uses artificial intelligence agents to automate and assist with procurement and supply chain workflows on your behalf. In the course of providing these Services, AI agents may process personal data (such as names, contact details, roles, and communication records). Such processing occurs for the purpose of delivering the Services you have subscribed to and is governed by this Privacy Policy. We do not use individually identifiable Personal Data to train our AI models without your explicit consent. Anonymised and aggregated data derived from platform usage may be used for AI model improvement as described in this Privacy Policy. You have the right to request human review of any decision made solely through automated processing that significantly affects you or your organisation.

5. Privacy statements

  1. A condition of each User’s use of and access to our Services is their acceptance of the User Terms, which also involves acceptance of the terms of this Privacy Policy. Any User who does not agree with any provisions of the same has the option to discontinue the Services provided by CHAIYN immediately.
  2. Users’ personally identifiable information, which you choose to provide on the Site is used to help the Users describe/identify themselves. Other information that does not personally identify the Users as an individual, is collected by CHAIYN from Users (such as patterns of utilization described above) and is exclusively owned by CHAIYN. We may also use such information in an aggregated or non-personally identifiable form for research, statistical analysis and business intelligence purposes, and may share such research, statistical or intelligence data in an aggregated or non-personally identifiable form to third parties. In particular, CHAIYN reserves the right to use anonymized User demographics information and anonymized User information for the following purposes:
    1. Analyzing software usage patterns for improving product design and utility.
    2. Analyzing such information for research and development of new technologies.
    3. Using analysis of such information in other commercial product offerings of CHAIYN.
    4. Sharing analysis of such information with third parties for research purposes under appropriate data use agreements.
  3. You are responsible for maintaining the accuracy of the information you submit to us, such as your contact information provided as part of account registration. If your Personal Data changes, you may correct, delete inaccuracies, or amend information by making the change on your profile information page on the Site or by contacting us at hello@chaiyn.ai. We will make good faith efforts to make the requested changes in our then active databases as soon as reasonably practicable. If you provide any information that is untrue, inaccurate, out of date or incomplete (or becomes untrue, inaccurate, out of date or incomplete), or CHAIYN has reasonable grounds to suspect that the information provided by you is untrue, inaccurate, out of date or incomplete, CHAIYN may, at its sole discretion, discontinue the provision of the Services to you.
  4. CHAIYN may periodically ask Users to complete surveys asking about their experiences with features of the Site and Services. Our surveys may ask visitors for demographic information such as age, gender, and education. We use survey information for evaluation and quality improvement purposes, including helping CHAIYN to improve the information and services offered. In addition, Users giving feedback may be individually contacted for follow-up due to concerns raised during the course of such evaluation. demographic information and web log data may be stored for future evaluation and quality improvement activities.
  5. While using the Site, with your permission, we may collect geo-location data from your device for the purposes of regional compliance checks, supplier discovery, and supply chain risk intelligence. CHAIYN may share such geo-location data with authorised service providers, affiliates, or technology partners strictly on a need-to-know basis and solely for the purposes of providing, supporting, securing, or improving the Services, in accordance with applicable data protection laws.
  6. CHAIYN takes your right to privacy very seriously and other than as specifically stated in this Privacy Policy will only disclose your Personal Data in the event it is required to do so by law, rule, regulation, law enforcement agency, governmental official, legal authority or similar requirements or when CHAIYN, in its sole discretion, deems it necessary in order to protect its rights or the rights of others, to prevent harm to persons or property, to fight fraud and credit risk, or to enforce or apply the User Terms.
  7. Where Personal Data processed by us is likely to be used to make a decision that affects you, or is disclosed to another Data Fiduciary, we shall take reasonable steps to ensure the completeness, accuracy, and consistency of such Personal Data, in accordance with Section 8(3) of the Digital Personal Data Protection Act, 2023.
  8. CHAIYN may also disclose or transfer User’s personal and other information a User provides, to a third party as part of reorganization or a sale of the assets of CHAIYN. Any third party to which CHAIYN transfers or sells its assets will have the right to continue to use the personal and other information that Users provide to us, in accordance with the User Terms.
  9. To the extent necessary to provide Users with the Services, CHAIYN may provide their Personal Data to third-party contractors who work on behalf of or with CHAIYN to provide Users with such Services, to help CHAIYN communicate with Users or to maintain the Site. Generally, these contractors do not have any independent right to share this information. However, CHAIYN may engage sub-processors to provide certain elements of the Services. All sub-processors are bound by data processing agreements that provide protections equivalent to or greater than those set out in this Privacy Policy.
  10. CHAIYN has implemented security policies, rules and technical measures to protect the Personal Data that it has under its control from unauthorized access, improper use or disclosure, unauthorized modification and unlawful destruction or accidental loss. However, for any data loss or theft due to unauthorized access to the User’s electronic devices through which the User avails the Services, CHAIYN shall not be held liable for any loss whatsoever incurred by the User.
  11. Further, in accordance with Section 15 of the Digital Personal Data Protection Act, 2023, you shall: (a) comply with the provisions of all applicable laws while exercising your rights under this Privacy Policy or the said Act; (b) not impersonate another person while providing your Personal Data for any specified purpose; (c) not suppress any material information while providing your Personal Data; (d) not register a false or frivolous grievance or complaint with CHAIYN or the Data Protection Board of India; and (e) furnish only such information as is verifiably authentic while exercising your right to correction or erasure.

6. Consent on registration

In order to have access to all the features and benefits on our Site, a User must first create an account on our Site. To create an account, a User is required to provide certain information, which such User recognizes and expressly acknowledges is Personal Data allowing others, including CHAIYN, to identify the User name, User ID, email address, address(es), phone number etc. and password chosen by the User. Other optional information may be requested on the registration page. We may, in the future, include other optional requests for information from the User to help us to customize the Services to deliver personalized information to the User. The consent shall be obtained from the User during the time of the registration process for the information provided. Users can give, manage, review, and withdraw his/her consent by visiting their account settings or writing to hello@chaiyn.ai. Once consent is withdrawn, we will cease processing the relevant data unless required by law.

If you provide us with personal information relating to other individuals (for example, of any representatives of your vendors or customers), you confirm that you are authorised to do so and that any required notices or consents have been obtained from those individuals.

Your consent to the processing of Personal Data under this Privacy Policy shall be free, specific, informed, unconditional, and unambiguous, and shall be signified by a clear affirmative action, in accordance with Section 6(1) of the Digital Personal Data Protection Act, 2023. Consent requests shall be presented to you in clear and plain language. You may also give, manage, review, or withdraw your consent through a Consent Manager (as defined under the Digital Personal Data Protection Act, 2023) registered with the Data Protection Board of India (Digital Personal Data Protection Act, 2023), where such facility is available.

7. User’s rights

In accordance with the Digital Personal Data Protection Act, 2023 and other applicable law, you have the following rights in relation to your Personal Data:

  1. Right to Access: You may request a summary of the Personal Data we hold about you and the processing activities conducted on it; and the identities of all other data fiduciaries and data processors with whom your Personal Data has been shared by us, along with a description of the Personal Data so shared, in accordance with Section 11(1) of the Digital Personal Data Protection Act, 2023.
  2. Right to Correction and Erasure: You may request correction of inaccurate or misleading Personal Data, completion of incomplete Personal Data, updating of your Personal Data, or erasure of Personal Data that is no longer required for the purposes for which it was collected, subject to our legal retention obligations, in accordance with Section 12 of the Digital Personal Data Protection Act, 2023;
  3. Right to Withdraw Consent: You may withdraw any consent you have given at any time, which will not affect the lawfulness of processing carried out prior to such withdrawal;
  4. Right to Grievance Redressal: You may raise a complaint at hello@chaiyn.ai or, if unresolved, with the Data Protection Board of India.
  5. Right to nominate: In accordance with Section 14 of the Digital Personal Data Protection Act, 2023, you may nominate any other individual who shall, in the event of your death or incapacity, exercise your rights as a Data Principal under this Privacy Policy and under the Digital Personal Data Protection Act, 2023. Such nomination may be made by writing to hello@chaiyn.ai or through such other mechanism as may be made available on the Platform.

To exercise any of these rights, please contact: hello@chaiyn.ai. We will respond within 30 days of receipt of your request.

Further, in the event of a breach in Personal Data, CHAIYN will: (a) notify the Data Protection Board of India as required by applicable law; (b) notify affected Users by email to their registered address within 72 hours of confirming the breach, where feasible; (c) provide details of the nature of the breach, the data affected, likely consequences, and steps being taken to address it.

8. Transaction details

CHAIYN may require the User to pay with a credit card, debit card, net banking, UPI, or other online payment mechanisms for Services for which an amount(s) is/are payable. User’s credit card/debit card details are transacted upon secure sites of approved payment gateways which are digitally under encryption, thereby providing the highest possible degree of care as per current technology. User is advised, however, that internet technology is not foolproof safe and User should exercise discretion on using the same. CHAIYN shall not, under any circumstances, be held liable for any data breaches, unauthorized access, or losses that may arise by third-party payment gateways.

9. Third-party websites and content

This Privacy Policy applies to the Site and Services that are owned and operated by CHAIYN. We do not exercise control over the sites that may be displayed as search results or links from within the Services. These other sites may place their own cookies or other files on the Users’ computer, collect data or solicit Personal Data from the Users, for which CHAIYN is not responsible or liable. Accordingly, CHAIYN does not make any representations concerning the privacy practices or policies of such third parties or terms of use of such websites, nor does CHAIYN guarantee the accuracy, integrity, or quality of the information, data, text, software, sound, photographs, graphics, videos, messages or other materials available on such websites. The inclusion or exclusion does not imply any endorsement by CHAIYN of the website, the website’s provider, or the information on the website. If you decide to visit a third-party website linked to the Website, you do this entirely at your own risk. CHAIYN encourages the User to read the privacy policies of such websites. The Platform may also connect with third-party business systems and tools used by your organisation. Your use of those third-party tools is governed by their own terms and privacy policies, and CHAIYN is not responsible for how those providers handle personal information outside this Platform.

10. Web browser cookies

The Site may use cookies to store certain data (that is not sensitive personal data or information) that is used by us for the technical administration of the Site, research and development, and User administration. In the course of serving advertisements or optimizing services to its Users, CHAIYN may allow authorized third parties to place or recognize a unique cookie on the User’s browser. The cookies, however, do not store any Personal Data of the User. We may use cookies to collect information about your browsing activities and enhance your user experience. You can manage your cookie preferences through your browser settings. Please note that blocking or disabling cookies may affect your ability to use certain features of our platform. Our use of cookies and similar technologies forms part of our provision of the Services and is also governed by the User Terms. By using the Site/Platform, you consent to our use of cookies in accordance with this Privacy Policy and the User Terms.

11. Use of information on cancellation of account

If you wish to cancel your account or request that we no longer use your information to provide you Services, contact us at hello@chaiyn.ai and we will retain your information for as long as your account with the Services is active and as needed to provide you with the Services. We shall not retain such information for longer than is required for the purposes for which the information may lawfully be used or is otherwise required under any other law for the time being in force. When Personal Data is no longer required for these purposes, we will take reasonable steps to delete, anonymise or otherwise dispose of it securely, in accordance with our internal policies and applicable law. After a period of time, your data may be anonymized and aggregated and then may be held by us as long as necessary for us to provide our Services effectively or improve the Services. We may retain Aggregated and/or Anonymised Data derived from Personal Data for an extended period or indefinitely, as such data does not identify any individual.

12. Exclusion of liability

The Services may enable a User to communicate with other Users, including but not limited to, vendors, customers or third party contractors, or to post information to be accessed by others, whereupon other Users may collect such data. Such Users, including any moderators or administrators, are not authorized CHAIYN representatives or agents, and their opinions or statements do not reflect those of CHAIYN, and they are not authorized to bind CHAIYN to any contract. CHAIYN, hereby expressly disclaims any liability for any reliance or misuse of such information that is made available by the User or visitors in such a manner.

13. Confidentiality and security

  1. Your Personal Data is maintained by CHAIYN in electronic form (inter alia using servers) on its or its employee’s and partners’ equipment. We take necessary precautions to protect your Personal Data and shall implement reasonable security practices and measures that are commensurate with respect to the information being collected and the nature of CHAIYN’s business.
  2. CHAIYN makes all User information accessible to its employees only on a need-to-know basis, including to any designated data protection officer of CHAIYN.
  3. Notwithstanding the above, CHAIYN is not responsible for the confidentiality, security or distribution of your Personal Data by third parties outside the scope of our Agreement with any third parties.
